1. Introduction
These Terms of Service (“Terms”) govern your access to and use of the website, software, WhatsApp channels, partner programme, authentication platform, and related services operated by TruScan Systems (Pty) Ltd (“TruScan”, “we”, “our”, or “us”).
By accessing or using any TruScan service, you agree to be bound by these Terms. If you do not agree, please do not use our services.
2. About TruScan
TruScan is a South African technology company providing digital business solutions, including:
2.1 WhatsApp Automation Services
We design and deploy custom WhatsApp automation systems for businesses, including lead capture, customer support, booking flows, notifications, and marketing automation.
2.2 Partner Referral Programme
We operate a referral programme that allows approved partners to promote TruScan services and earn commissions or rewards subject to these Terms.
2.3 Product Authentication Solutions
We provide QR-based product authentication technology that enables consumers to verify genuine products and assists brands with anti-counterfeit monitoring.
3. Eligibility
To use our services, you must:
- be at least 18 years old or have legal authority to enter into agreements;
- provide accurate information when requested;
- comply with all applicable laws and regulations; and
- use our services only for lawful business purposes.
We reserve the right to refuse service, suspend access, or terminate accounts at our discretion where misuse, fraud, or risk is identified.
4. WhatsApp Automation Services
4.1 Scope of Services
TruScan provides customised automation systems based on each client's business needs. Deliverables, pricing, timelines, integrations, and monthly support terms may vary by client and will be confirmed separately in writing.
4.2 Third-Party Platforms
Our services may rely on third-party providers such as WhatsApp Business Platform, Meta, hosting providers, payment processors, CRM systems, or email platforms. We are not responsible for downtime, policy changes, pricing changes, outages, suspensions, or limitations imposed by third-party providers.
4.3 Client Responsibilities
Clients are responsible for:
- supplying accurate business information;
- obtaining any required customer consents;
- complying with marketing and privacy laws;
- reviewing automation flows before launch; and
- paying agreed fees on time.
5. Outbound Business Marketing
TruScan may conduct business-to-business outreach on behalf of itself or clients using publicly available business contact details.
5.1 Contact Sources
Business contact details may be sourced from public directories, websites, mapping platforms, or publicly listed business profiles.
5.2 Opt-Out
Recipients may request no further contact by replying STOP or by contacting us directly. We will process reasonable opt-out requests promptly.
5.3 Responsible Use
We aim to keep outreach limited, relevant, and professional. We reserve the right to adjust campaign frequency and targeting practices at any time.
6. Partner Referral Programme
6.1 Approval
Participation in the Partner Programme is subject to approval. We may approve, reject, suspend, or remove applicants at our discretion.
6.2 Referral Tracking
Partners may receive referral links, QR codes, partner IDs, or similar tools used to track valid referrals.
6.3 Commissions and Rewards
Where applicable, commissions, bonuses, or milestone rewards may be paid for qualifying referrals or sales. Specific rates, thresholds, and rules may be changed from time to time. A referral or sale may be disqualified where fraud, cancellation, refund, duplicate attribution, abuse, or policy breaches occur.
6.4 Payouts
Payout methods, minimum thresholds, processing times, and verification requirements may be determined by TruScan and updated periodically.
6.5 Fraud and Abuse
We may withhold or reverse earnings where suspicious activity is detected, including:
- fake referrals or self-referrals;
- bot traffic;
- misleading promotions;
- duplicate accounts; or
- manipulated scan activity.
7. Product Authentication Services
Where TruScan provides authentication technology to manufacturers, distributors, or brands:
- QR codes and security systems remain subject to commercial agreement;
- scan analytics and alerts are informational tools only;
- TruScan does not guarantee elimination of counterfeit activity; and
- clients are responsible for packaging implementation and operational use.
8. Merchant / Marketplace Services
Where TruScan enables merchants to sell products or services through its systems:
- listings are subject to approval;
- merchants remain responsible for product quality, legality, fulfilment, customer support, and compliance;
- fees or commissions may apply; and
- we may remove listings that create legal, reputational, operational, or customer risk.
9. Acceptable Use
You may not use TruScan services to:
- violate any law or regulation;
- infringe intellectual property rights;
- send unlawful spam or deceptive marketing;
- impersonate another person or business;
- interfere with our systems or security;
- scrape, reverse engineer, or exploit our platform unlawfully;
- submit false information; or
- conduct fraudulent activity.
10. Fees and Payments
Where fees apply:
- invoices are payable according to agreed terms;
- late payments may result in suspension of services;
- setup fees and monthly retainers may be non-refundable unless otherwise agreed; and
- third-party costs may be billed separately where applicable.
11. Intellectual Property
Unless otherwise agreed in writing:
- TruScan retains ownership of its software, systems, branding, templates, processes, and proprietary tools;
- clients retain ownership of their business data and trademarks; and
- clients grant TruScan the limited rights necessary to deliver services.
No licence or ownership transfers unless expressly agreed in writing.
12. Confidentiality
Both parties should treat non-public commercial, technical, and customer information as confidential and use it only for legitimate business purposes.
13. Privacy and Data Protection
We process personal information in accordance with applicable South African law, including POPIA where relevant. Please review our Privacy Policy and POPIA Compliance page for more information on how we collect, use, store, and protect data.
14. Limitation of Liability
To the maximum extent permitted by law, TruScan will not be liable for indirect, incidental, consequential, special, or loss-of-profit damages. Our total liability relating to any claim shall not exceed the amount paid to TruScan by the affected client in the 12 months preceding the claim, unless law requires otherwise.
15. Indemnity
You agree to indemnify and hold TruScan harmless from claims, losses, or damages arising from:
- your misuse of the services;
- unlawful marketing practices;
- breach of these Terms; or
- products, services, or claims you promote through our systems.
16. Suspension and Termination
We may suspend or terminate access where:
- these Terms are breached;
- payment remains overdue;
- fraud or abuse is suspected; or
- continued service creates legal or operational risk.
You may stop using our services at any time, subject to any active commercial agreement.
17. Changes to These Terms
We may update these Terms from time to time. Updated versions will be posted with a revised effective date. Continued use of our services after updates constitutes acceptance of the revised Terms.
18. Governing Law
These Terms are governed by the laws of the Republic of South Africa. Any dispute subject to litigation shall fall within the jurisdiction of South African courts, unless otherwise required by law.
